A Note Paying Agent may resign by notifying the Indenture Trustee, the Administrator and the Issuer.
However, the Indenture Trustee or the Note Paying Agent, before making the payment, will publish once, at the expense and direction of the Issuer, in a newspaper customarily published on each Business Day in the English language and of general circulation in The City of New York, notice that the money remains unclaimed and that after a date stated in the notice, which must be at least 30 days from the date of publication, any unclaimed balance of the money then remaining will be paid to the Issuer.
If no Note Paying Agent is appointed, then the Indenture Trustee will be the Note Paying Agent for the Notes.
Subject to applicable law, money held by the Indenture Trustee or a Note Paying Agent in trust under this Section 3.3 which remains unclaimed for two years after it became due and payable will be discharged from the trust and paid to the Issuer on Issuer Request.
Each Note Paying Agent will have the power to make distributions from the Bank Accounts.
