Note Document definition

Note Document means any of this Agreement, the Collateral Documents, the Notes and all other documents, certificates, instruments or agreements that are expressly designated pursuant to their terms to be “Note Documents” or are otherwise executed and delivered by or on behalf of a Note Party or any other Person for the benefit of Collateral Agent or Purchaser in connection herewith, excluding, for the avoidance of doubt, the Purchaser Warrants and any other documents related solely thereto.
Note Document means, collectively, this Agreement, the Notes and any guaranty, other agreement or instrument executed in connection with the foregoing.

  • Any representation, warranty, certification or other statement (i) made by a Note Party or by any of its Subsidiaries in any Note Document or in any statement or certificate at any time given by Issuer, the Guarantors or any of their Subsidiaries pursuant hereto or thereto or in connection herewith or therewith shall have been false in any material respect on the date as of which made so as to make such representation, warranty, certification or other statement misleading.

  • Except as provided by paragraph (b) below, the Company shall, or shall procure that another member of the Group will, within ten Business Days of written demand by any Note Purchaser, pay to a Protected Party an amount equal to any loss or liability or cost which that Protected Party determines in good faith will be or has been (directly or indirectly) suffered for or on account of Tax by that Protected Party in relation to a payment received or receivable from an Obligor under a Note Document.

  • Payments shall be made in accordance with and as set forth in these Conditions (including without limitation Condition 20.2(c) ( In connection with the raising of any Note Document into a Spanish Public Document, Atento Teleservicios España S.A.U. shall act as the agent of each Obligor and is hereby authorised on behalf of each Obligor to enter into, enforce the rights of each Obligor under and represent each Obligor in respect of the granting of a Spanish Public Document.

  • Time is of the essence for the performance of all Obligations in this Agreement and each Note Document.

  • Unless a Note Document expressly provides otherwise the Agent may disclose to any other Note Party or Obligor any information it reasonably believes it has received as agent under these Conditions.


More Definitions of Note Document

Note Document means any of this Note, the Pledge Agreement and all other certificates, documents, instruments or agreements executed and delivered by the Company for the benefit of the Holder in connection herewith or therewith.
Note Document means this Agreement, each Note, each Transaction Security Document, the Intercreditor Deed, each Joinder Agreement, each English Guarantee Agreement and each other guarantee agreement executed by any Additional Subsidiary Guarantor in accordance with Sections 1(b) and 9.31, and the Hedging Letter, in each case as amended, novated, supplemented or restated (however fundamentally).
Note Document. This Agreement is a "Note Document", as defined in the Purchase Agreement, and, except as expressly provided herein to the contrary, this Agreement is subject to all provisions of the Purchase Agreement governing such Note Documents.
Note Document means and include each of (i) this Agreement, (ii) any Notes, (iii) the Subsidiary Guaranty and (iv) any other agreement, document or instrument evidencing any obligation by any Note Party for the benefit of the holders, in each case, as amended, modified or supplemented from time to time.
Note Document shall have the meaning assigned to the termNote Documents” (or any equivalent term) in the Note Purchase Agreement.
Note Document means this Note, the Intercreditor Agreement, the Intercompany Note Subordination Agreement, the Agreement re: Secured Notes, the Intercompany Note Allonge and any other document or instrument executed or delivered in connection with transactions contemplated hereunder.
