Examples of Note Conditions in a sentence
No provision of this Deed or the Note Conditions shall require the Note Trustee to do anything which may be illegal or contrary to applicable law or regulation or expend or risk its own funds or otherwise incur any financial liability in the performance of any of its duties, or in the exercise of any of its rights or powers, if it shall have reasonable grounds for believing that repayment of such fund or adequate indemnity against such risk or liability is not assured to it.
The Note Conditions shall be binding on the Issuer, the Note Trustee, the Noteholders and all persons claiming through or under them respectively.
In connection with any proposed modification, waiver, authorisation or determination permitted by the terms of this Deed or the Note Conditions, the Note Trustee shall not have regard to the consequences thereof for individual Noteholders resulting from their being for any purpose domiciled or resident in, or otherwise connected with, or subject to, the jurisdiction of any particular territory.
The Note Trustee as between itself and the Noteholders shall have full power to determine all questions and doubts arising in relation to any of the provisions of this Deed or the Note Conditions, and every such determination, whether made upon a question actually raised or implied in the acts or proceedings of the Note Trustee, shall be conclusive and shall bind the Issuer and the Noteholders.
Each Paying Agent will hold on trust for the US$ Note Trustee and the US$ Noteholders all amounts held by such Paying Agent for the payment of principal and interest with respect to US$ Notes until such amounts are paid to the US$ Note Trustee or the applicable US$ Noteholders in accordance with the US$ Note Trust Deed or the US$ Note Conditions or repaid under Clause 3.12.
