Non-Group Entity means any investment or entity (which is not itself a member of the Group (including associates and Joint Ventures)) in which any member of the Group has an ownership interest.
The Issuer shall not, and shall procure that no other Group Company will, directly or indirectly make or grant any loans, credit or give any guarantee or indemnity to or for the benefit of any person or group or otherwise voluntary assume any financial liability, whether actual or contingent, in respect of any other person or group, not being a GroupCompany or a Non-Group Entity, except for in the ordinary course of business.
Nominal Amount has the meaning set forth in Clause 2.3.
