Non-Controlling Party definition

Non-Controlling Party means, at any time, any Trustee, Liquidity Provider or other Person which is not the Controlling Party at such time.
Non-Controlling Party means the party not controlling the defense of any Third Party Action.
Non-Controlling Party has the meaning set forth in Section 5.3(a).

  • The failure of the Controlling Party to take any action specified in the preceding sentence with respect to the Non-Controlling Party shall not relieve the Non-Controlling Party of any liability and/or obligation which it may have to the Controlling Party under this Agreement, and in no event shall such failure relieve the Non-Controlling Party from any other liability or obligation which it may have to the Controlling Party.
