Non-Consenting Lender definition
Non-Consenting Lender means any Lender that does not approve any consent, waiver or amendment that (a) requires the approval of all Lenders or all affected Lenders in accordance with the terms of Section 11.01 and (b) has been approved by the Required Lenders.
Non-Consenting Lender has the meaning assigned to such term in Section 9.02(d).
Non-Consenting Lender shall have the meaning assigned to such term in Section 2.19(c).

This Amendment constitutes any notice to the Administrative Agent and/or each Non-Consenting Lender that is required pursuant to Section 11.1(f) of the Credit Agreement.
