Nominating Person definition
Nominating Person means (i) the stockholder providing the notice of the nomination proposed to be made at the meeting, (ii) the beneficial owner or beneficial owners, if different, on whose behalf the notice of the nomination proposed to be made at the meeting is made, and (iii) any other participant in such solicitation.
Nominating Person means (A) the shareholder providing the notice of the nomination proposed made to be at an annual meeting, (B) the beneficial owner or beneficial owners, if different, on whose behalf the notice of nomination proposed to be made at the annual meeting is given, and (C) any Affiliate or Associate (each within the meaning of SEC Rule 12b-2 under the Exchange Act) of such shareholder or beneficial owner.

The number of nominees a Nominating Person may nominate for election at the annual meeting pursuant to Section 2.5(i)(c) of these bylaws shall not exceed the number of directors to be elected at such annual meeting.
More Definitions of Nominating Person
Nominating Person means, collectively, any shareholder giving the notice of director nomination or, if the notice is given on behalf of a beneficial owner on whose behalf the nomination is made, such beneficial owner, and if such shareholder or beneficial owner is an entity, each Control Person thereof (in each case of a shareholder, beneficial owner or Control Person, together with any Family Member thereof);

Nominating Person means:
Nominating Person means (A) the stockholder providing the notice of the nomination proposed to be made at the meeting, (B) the beneficial owner or beneficial owners, if different, on whose behalf the notice of the nomination proposed to be made at the meeting is made, (C) any affiliate or associate of such stockholder or beneficial owner, and (D) any other person with whom such stockholder or such beneficial owner (or any of their respective affiliates or associates) is Acting in Concert; provided that, notwithstanding the foregoing definition, until the Trigger Date, in the case of a special meeting called by the Sponsor in accordance with Section 2.3(2) of this ARTICLE II, the Sponsor shall not be deemed to be a “Nominating Person”.

Nominating Person means (i) the stockholder providing the Nominating Notice; (ii) the beneficial owner of the Corporation’s capital stock, if different, on whose behalf the Nominating Notice is given; (iii) any affiliate or associate of such stockholder or beneficial owner; (iv) the spouse or other family member of such stockholder or beneficial owner to the extent that such spouse or other family member is involved in engaging with the Corporation on behalf of such stockholder or beneficial owner; (v) any participant (as defined in paragraphs (a)(ii)-(vi) of Instruction 3 to Item 4 of Schedule 14A, or any successor instructions) with such stockholder or beneficial owner in such solicitation of proxies in respect of the nominations described in the Nominating Notice; (vi) any person who is a member of a “group” (for purposes of these By-laws, as such term is used in Rule 13d-5 under the Exchange Act) with any such stockholder or beneficial owner (or their respective affiliates and associates); and (vii) any other person with whom such stockholder or beneficial owner (or any of their respective affiliates or associates) is Acting in Concert.
