Subject to the terms and conditions of this Limited Warranty, Q CELLS warrants to the Customer that Q CELLS Product conforms with Technical Specification and the User Manual provided by Q CELLS and Q CELLS warrants, for (10) years from the Warranty Start Date or when its energy throughput of Product reaches “A” MWh, whichever comes earlier, that Product maintains at least “B”% of Nominal Energy (“Performance Warranty”).

Dyness warrants that the Products retains seventy percent (70%) of the Nominal Energy for ten (10) years from the Invoice Date.
Payment of the liquidated damages set forth in Exhibit B and Exhibit I shall, without duplication, constitute the sole and exclusive remedy of Buyer and the sole and exclusive liability and measure of damages of Supplier with respect to the failure of the Wind Turbines to maintain the Nominal Energy Output or achieve the Sound Level Performance Standard.
