No Restraint. The waiting period under the HSR Act shall have expired or been terminated, and no Court Order shall have been issued and be in effect which restrains or prohibits any material transaction contemplated hereby.

There is no (A) preliminary or permanent Order in effect that (1) declares this Agreement or any Ancillary Agreement invalid or unenforceable in any respect or (2) restrains, enjoins, or otherwise prohibits the consummation of the Transactions, including the transactions contemplated by the Ancillary Agreements, or (B) Action taken, or Law enacted, promulgated, or deemed applicable to the Transactions, by a Governmental Authority that, directly or indirectly, prohibits the consummation of the Transactions, including the transactions contemplated by the Ancillary Agreements, as herein or therein provided;
