No Existing Default. No Default or Event of Default shall have occurred and be continuing (i) on the borrowing, continuation or conversion date with respect to such Loan or after giving effect to the Loans to be made, continued or converted on such date or (ii) on the issuance or extension date with respect to such Letter of Credit or after giving effect to the issuance or extension of such Letter of Credit on such date.
No Existing Default. No Default or Event of Default shall exist or shall result from such Borrowing or continuation or conversion; and
No Existing Default. No Default or Event of Default shall exist or shall result from such Borrowing. Each Notice of Borrowing submitted by the Company hereunder shall constitute a representation and warranty by the Company hereunder, as of the date of each such notice and as of each Borrowing Date, that the conditions in Section 4.2 are satisfied.
No Existing Default. No Event of Default or Unmatured Event of Default shall exist or shall result from such Borrowing or Issuance. Each Notice of Borrowing and L/C Application or L/C Amendment Application submitted by the Company hereunder shall constitute a representation and warranty by the Company hereunder, as of the date of such notice and as of the applicable Borrowing Date or Issuance Date, that the conditions in this Section 5.2 are satisfied.
No Existing Default. No Default or Event of Default shall have occurred and be continuing on the borrowing date with respect to the Term Loans or after giving effect to the Term Loans to be made on such date.
No Existing Default. No Default or Event of Default shall exist or shall result from such Borrowing or continuation or conversion. Each Notice of Borrowing and Notice of Conversion/Continuation and Competitive Bid Request submitted by Company hereunder shall constitute a representation and warranty by Company hereunder, as of the date of each such notice or request and as of each disbursement date or Conversion/Continuation Date, as applicable, that the conditions in this Section are satisfied.
No Existing Default. No Default or Event of Default shall exist or shall result from such Borrowing or continuation or conversion. Each Notice of Borrowing, Notice of Swing-Line Borrowing, Request for Issuance of Letter of Credit and Notice of Continuation/Conversion submitted by the Borrower, hereunder shall constitute a representation and warranty by the Borrower hereunder, as of the applicable effective date thereof, that the conditions in this Section 4.02 are satisfied.
No Existing Default. No Default or Event of Default shall exist or shall result from such Borrowing or issuance of such Letter of Credit; and
No Existing Default. No Default or Event of Default shall exist or shall result from such Borrowing, continuation or conversion, or Issuance. Each Notice of Borrowing, Notice of Conversion/Continuation, Competitive Bid Request, L/C Application and L/C Amendment Application submitted by a Borrower hereunder shall constitute a representation and warranty by the Company hereunder, as of the date of each such notice or request and as of each disbursement date, Conversion/Continuation Date or Issuance Date, as applicable, that the conditions in this Section 5.02 are satisfied.
No Existing Default. No Default or Event of Default shall exist and be continuing or shall result from the Loan being made on such date.
