NGN means a Global Bearer Security in new global note form.

Examples of NGN in a sentence

  • In relation to each Series where the relevant Global Note is in NGN form or the relevant Global Certificate is held under the NSS, the Issuer hereby authorises and instructs the Issuing and Paying Agent to elect Euroclear/Clearstream Banking as Common Safekeeper.

  • In the case of Notes represented by a NGN, the nominal amount of Notes represented by such NGN shall be the aggregate amount from time to time entered in the records of both Euroclear and Clearstream, Luxembourg.

  • Payments made by the Issuer in respect of Notes represented by a NGN shall discharge the Issuer's obligations in respect thereof.

  • In the case of a Global Note which is a NGN, the Agent to whom such Note, Certificate, or Coupon is presented shall instruct Euroclear and Clearstream, Luxembourg to make appropriate entries in their records to reflect such shortfall in payment.

  • The records of Euroclear and Clearstream, Luxembourg shall be conclusive evidence of the nominal amount of Notes represented by the relevant NGN and for such purposes, a statement issued by Euroclear or Clearstream, Luxembourg stating the nominal amount of Notes represented by the relevant NGN at any time shall be conclusive evidence of the records of the relevant clearing systems at that time.

NGN means a temporary Global Note in the form set out in Part C or a permanent Global Note in the form set out in Part D, in each case, of schedule 1 to the Trust Deed which is intended to be eligible collateral for Eurosystem monetary policy and intra-day credit operations as stated in the applicable Final Terms;
