New Materials definition

New Materials means all Intellectual Property developed, adapted, modified or created by or on behalf of us or you or any of your or our respective Personnel in connection with this Agreement or the
New Materials means all Intellectual Property developed, adapted, modified or created by or on behalf of us or you or any of your or our respective Personnel in connection with this Agreement or the provision of the Services, after the date of this Agreement (and excluding Our Materials). Our Materials means all work, models, processes, technologies, strategies, materials, information, documentation, specifications and services (including Intellectual Property), owned, licensed, or developed, adapted or modified, by or on behalf of us or our Personnel before the Commencement Date and/or developed by or on behalf of us or our Personnel independently of this Agreement and/or which form an input into a Deliverable which are not provided to you as part of the Deliverables under this Agreement. Personnel means, in respect of a Party, any of its employees, consultants, suppliers, subcontractors or agents.
New Materials means all Intellectual Property developed, adapted, modified or created by or on behalf of us or you or any of your (or our respective Personnel) in connection with this Agreement or the performance of the Services, whether before or after the date of this Agreement. Our Materials means all work, models, processes, technologies, strategies, materials, information, documentation and services that we may provide to you under this Agreement, and which may contain material which is owned by or licensed to us, and is protected by Australian and international laws. Party means a party to this Agreement from time to time, and Parties means all of them.

Examples of New Materials in a sentence

  • Subject to Section 3.3(b), Licensee is entitled to reuse any New Materials for which such approval has been granted without making any further submission to Licensor for any further approval of such New Materials; provided, that there is no further Material Change to any such approved New Materials.

  • If Licensor does not object to or otherwise respond to Licensee’s request for review and approval of the New Materials within thirty (30) days of Licensor’s receipt of said materials, then consent by Licensor to use of the materials shall be deemed granted without further action.

  • If Licensor reasonably requires modifications to such New Materials to bring the use of the Licensed Marks on the New Materials into material conformity with the Brand Manual (if appliable) or other standards set forth herein, Licensee will so modify such New Materials prior to use.


More Definitions of New Materials

New Materials means materials developed pursuant to the Development Plan that are not available on the open market from Third Parties.
New Materials all results, outcomes, conclusions, products, systems, inventions, know-how, experimental methods, processes, data, notes, operating philosophies and procedures, designs, drawings, construction techniques, records, memoranda and other writings, calculations, formula, computer programs, graphics, data in whatever form or format (including all supporting data) and other IP Rights developed during and as a result of the Project (including any manuscripts) and all enhancements, developments or modifications made by Vast Solar (or any of its Affiliates, employees or contractors) or by the Partner (or the Partner’s Personnel or any of the Partner’s employees or sub-contractors) to these things which are not Existing Material.
New Materials has the meaning set forth in Section 3.3(a).
New Materials means all materials (including any software, documentation, user guides, works or other item) conceived, prepared, created or designed by the Consultancy, or commissioned by the Consultancy from third parties, pursuant to this Agreement or arising out of or in consequence of the provision of the Services.
New Materials means all Intellectual Property developed, adapted, modified or created by either Party or their respective Personnel in the provision of the Services, but excludes Our Materials, Your Materials and the Customised IP. Our Materials means all work, models, processes, technologies, strategies, materials, information, documentation and services that we may provide to you under this Agreement, and which may contain material which is owned by or licensed to us, and is protected by Australian and international laws. Personnel means, in respect of a Party, any of its employees, consultants, suppliers, subcontractors or agents, but in respect of you, does not include us. Premises means any premises the subject of the Services. Price means the price set out in the Quote, as adjusted in accordance with this Agreement.
New Materials means any and all technology, products, design and associated documents (including all printed and electronic documentation and notes) that are jointly developed by the parties under this Agreement or that were developed or created by either party (or jointly by the parties) pursuant to, related to, or in connection with this Agreement and the activities contemplated herein, that are not Improvements to either Party’s Background Technology and all Intellectual Property Rights thereto (excluding Background Technology and Improvements).
New Materials has the meaning given in Section 7.3(b) of the Main Body of the Agreement.
