New Debentures definition

New Debentures means those certain $50,000,000 of new 8.19% Senior Debentures due November 1, 2009 issued by the Reorganized Debtor, offered to the Holders of Allowed Claims in Class 5, the form of which shall be Filed on or before the Confirmation Date.
New Debentures shall have the meaning assigned to such term in the Preamble of this Agreement.
New Debentures means, collectively, the U.S. $15,500,000 in principal amount 12% Senior Secured Convertible Debentures issued by the Grantors to the New Investors dated as of the date hereof.

Examples of New Debentures in a sentence

  • If any unpurchased New Debentures still remain, the Company shall have the right either to elect to consummate the sale except as to any such unpurchased New Debentures so remaining or, within the next succeeding 24 hours, to make arrangements satisfactory to the remaining Purchasers for the purchase of such New Debentures.

  • The provisions of Paragraphs C and D of Article VI and Articles VIII, IX and X of this Agreement apply only to Purchasers that have advised the Company of their intention to resell the New Debentures ("Reselling Purchasers").

  • If the Company shall not elect to so consummate the sale and any unpurchased New Debentures remain for which no satisfactory substitute Purchaser is obtained in accordance with the above provisions, then this Agreement shall terminate without liability on the part of any non-defaulting Purchaser or the Company for the purchase or sale of any New Debenture under this Agreement.

  • If the Purchasers advise the Company in the Purchase Agreement that they intend to resell the New Debentures, the Company will assist the Purchasers as hereinafter provided.

  • If for any reason any Purchaser shall not purchase the New Debentures it has agreed to purchase hereunder, the remaining Purchasers shall have the right within 24 hours to make arrangements satisfactory to the Company for the purchase of such New Debentures hereunder.


More Definitions of New Debentures

New Debentures means the debentures executed and issued to Canadian Agent, on behalf of Canadian Agent and Canadian Lenders, by one or more Credit Parties under the Deeds of Hypothec.
New Debentures means debt securities of the Company identical in all material respects to the Debentures (except that the New Debentures shall not be subject to restrictions on transfer), to be issued pursuant to Section 4 hereof.

New Debentures means the subordinated indebtedness of the Bank, which qualifies as regulatory capital of the Bank under the then current capital adequacy guidelines prescribed by the Superintendent for Canadian chartered banks, to be issued to holders of Series 19 Debentures upon the exercise of the Series 19 Conversion Option pursuant to Article 6 hereof and having the terms and conditions contemplated by such Article.
New Debentures means those certain 8% Senior Secured Convertible Debentures due February 8, 2014, issued by the Company pursuant to the New Securities Purchase Agreement.
