New Debentures definition

New Debentures means those certain $50,000,000 of new 8.19% Senior Debentures due November 1, 2009 issued by the Reorganized Debtor, offered to the Holders of Allowed Claims in Class 5, the form of which shall be Filed on or before the Confirmation Date.
New Debentures shall have the meaning assigned to such term in the Preamble of this Agreement.

  • The "initial regular redemption price" will be the initial public offering price as defined below plus the rate of interest on the New Debentures.

More Definitions of New Debentures

New Debentures means collectively the NYC Newco Debentures and the PRR Newco Debentures proposed to be issued pursuant to the Exchange Offer, to be fully and unconditionally guaranteed by CSXT and NSR, respectively, and whose maturity dates, interest payment dates and interest rates are intended to be identical in all respects to the corresponding Debentures, except for the identity of the issuer and the aforementioned guarantees and the other terms, conditions and covenants provided in the NYC Newco Indenture and the PRR Newco Indenture, respectively, with such other changes as may be agreed to by CRC, CSXT, NSR, NSC and CSX.
New Debentures means debt securities of the Company identical in all material respects to the Debentures (except that the New Debentures shall not be subject to restrictions on transfer), to be issued pursuant to Section 4 hereof.
New Debentures means the debentures executed and issued to Canadian Agent, on behalf of Canadian Agent and Canadian Lenders, by one or more Credit Parties under the Deeds of Hypothec.
New Debentures means, individually and collectively, the New Series 1A Debentures and the New Series 2A Debentures;
New Debentures means the 8% Senior Subordinated Convertible Debentures of the Guarantor due December 1998;

(The Conversion Price will not vary depending on whether the Company or the Purchasers cause the Second Closing to occur).
