New Affiliate definition

New Affiliate means, with respect to a Party, a Person that becomes an Affiliate of such Party after the Effective Date as a result of a merger or acquisition of such Party (including by virtue of an acquisition of at least 50% of the voting stock of such Party).
New Affiliate has the meaning set forth in Section 2.6.2.
New Affiliate means a Third Party that becomes an Affiliate of either Party through merger, acquisition, consolidation or other similar transaction, including a Change of Control of such Party.

More Definitions of New Affiliate

New Affiliate of a Party shall mean an Affiliate of a Party that is not a Current Affiliate and that becomes an Affiliate by means other than a reorganization of the Party or its Affiliates. For example if, after the Effective Date, a third party acquires a Party or its Affiliates (or their assets in the case of an asset purchase), or a Party or its Affiliates acquire a third party (or its assets in the case of an asset purchase), such third party (or its assets) would be considered a New Affiliate.
