Net Sales Revenues definition

Net Sales Revenues. Net Sales Revenues" means the revenues generated by or to Fly Tech from the sale, lease, or use of End-Use Products whether during the term of this Agreement or subsequently, less the following amounts: reasonable discounts, rebates, or returns actually allowed or granted, all applicable taxes related to the sale and/or use of the End-Use Product, and initial transportation charges of the End-Use Products to customers.
Net Sales Revenues means the gross amount collected by Atossa for the sale of a Licensed Product, less all: (a) normal and customary cash and trade discounts and rebates (including prompt payment and volume discounts); (b) duties and taxes (including excise, sales, use, and value added taxes); (c) insurance, freight, packaging, handling, shipment, and transportation expenses (including associated insurance costs); (d) amounts allowed or credited due to returns, rejections, recalls, rebates, charge backs, billing errors, or retroactive price reductions; and (e) sales commissions or fees paid. Net Sales Revenues excludes amounts collected by Atossa: (i) that are not directly related to sale of a Licensed Product, including amounts paid for support, maintenance, development, research, clinical trials, training, and products bundled with a Licensed Product; (ii) for transfers made to a third party for resale by the third party or to an affiliate; and (iii) for Licensed Products used for research and development or other non-commercial uses, supplied as commercial samples, or supplied as charitable donations.
Net Sales Revenues means the total revenues invoiced by Orchid for sales of Kits to third parties for use in the detection of genetic polymorphisms by a method encompassed by at least one claim in the Orchid Patents but using a technology platform other than an Orchid technology platform less (i) sales taxes, tariff duties, and value added or other excise taxes; (ii) transportation costs; (iii) amounts credited on returns, replacements and allowances; and (iv) adjustments for invoice errors (such as pricing errors) that do not involve product returns, and excluding samples provided for promotional purposes.

Net Sales Revenues means all revenues earned from the sale, lease, or other disposition of a Licensed Product to a Third Party. “Net Sales Revenues” excludes
Net Sales Revenues means gross revenues from the sale of Additional Gas to third- party customers, less processing and transportation costs paid to Songas pursuant to the Gas Processing and Transportation Agreement on account thereof and less other applicable gathering, processing or transportation expenses.

Net Sales Revenues means any and all gross revenues, other than Net Sublicence Revenues, received by Newco on account of the sale or transfer of Licensed Products by Newco, less amounts actually paid or payable by Newco with respect to: (a) any applicable sales and value added taxes and any government-imposed duties (excluding income taxes or franchise taxes), (b) trade or cash discounts and rebates, and (c) shipping, insurance and freight costs.

Net Sales Revenues of a Licensed Product with more than one therapeutically active component (“Combination Product”) sold by Company, its Sublicensees or Affiliates shall be calculated by multiplying the Net Sales Revenue of the Combination Product by the fraction A/A+B, where A is the number of all therapeutically active components covered by the Licensed IP hereunder in the Combination Product, and B is the number of all other therapeutically active components in the Combination Product which are not covered by the Licensed IP hereunder. If Licensed Product is given away as part of a kit, or it is not sold but accompanies a product that is sold, then the sale price for the Licensed Product shall be deemed to be the proportional amount of the sale price based on a comparison at the fair market value of each component of the kit or of all products included in the sale. Any noncash consideration received in consideration for the sale of a Licensed Product will be reasonably valued by Company at fair market value.
