Examples of Net Long Position in a sentence
A Synthetic Position shall not include (1) any interests, rights, options or other securities set forth in Rule 16a-1(c)(1)-(5) or (7) of the General Rules and Regulations under the Exchange Act or (2) any Voting Securities beneficially owned (as defined in Rule 13d-3 under the Exchange Act) by such Person or its Affiliates or any Net Long Position held by such Person or its Affiliates.
Notwithstanding anything to the contrary contained herein, the parties agree that even if ▇▇▇▇▇▇▇ Capital’s Net Long Position is less than the Minimum Ownership Level, neither the Initial New Director, the Subsequent New Director or any Replacement shall be required to resign from the Board.
The Icahn Group shall, upon request, keep the Company regularly apprised of the Net Long Position of the Icahn Group and the Icahn Affiliates to the extent that such position differs from the ownership positions publicly reported on the Icahn Group’s Schedule 13D and amendments thereto.
The Stockholder Group shall promptly inform the Company if its Net Long Position is not at least equal to 2% of the outstanding Shares (or if any Stockholder ceases to be the beneficial owner of Shares) and will, upon reasonable request by the Company in connection with the Company’s discharge of its obligations set forth in the last sentence of Section 3(c), confirm in writing that its then current Net Long Position is at least equal to 2% of the outstanding Shares.
The Icahn Group shall keep the Company regularly apprised of the Net Long Position of the Icahn Group and the Icahn Affiliates to the extent that the Icahn Group is no longer subject to Section 16 and such position differs from the ownership positions publicly reported on the Icahn Group’s Schedule 13D and amendments thereto.
