Net Financing Proceeds definition

Net Financing Proceeds means the cash proceeds received by the Partnership in connection with any borrowing by or on behalf of the Partnership (whether or not secured), or distributed to the Partnership in respect of any such borrowing by any Subsidiary Entity, after deduction of all costs and expenses incurred by the Partnership in connection with such borrowing, and after deduction of that portion of such proceeds used to repay any other indebtedness of the Partnership, or any interest or premium thereon.

Net Financing Proceeds means Financing Proceeds, net of direct expenses of the transaction and net of taxes (including income taxes) currently paid or payable in cash as a result thereof in the current year or in the next succeeding year with respect to the current year as a result of the transaction generating Net Financing Proceeds.

More Definitions of Net Financing Proceeds

Net Financing Proceeds means the net proceeds actually received by the Company (directly or through distributions from its Subsidiaries) from any financing, refinancing or borrowing, after deducting (A) any expenses incurred in connection therewith, (B) any amounts applied towards the payment of any existing indebtedness or of other obligations or expenses of the Company or its Subsidiaries and (C) any reserves deemed necessary by the Board of Directors.

For this purpose, cash proceeds received by a Joint Venture Partnership shall not be deemed to be received or available to the Partnership until (i) such proceeds are distributed and actually received by the Partnership, or (ii) under the terms of the Joint Venture Partnership’s partnership agreement, the Partnership controls the timing and the amount of the Joint Venture Partnership’s distributions and then only to the extent of the Partnership’s entitlement to such distributions.

Net Financing Proceeds has the meaning given to that term in Clause 4.3 (Mandatory redemption - equity or capital market issue or debt financing).
