Net Debt Statement definition

Net Debt Statement means the statement as at the Completion Date in the form set out in Part 3 of Schedule 9 which is to be prepared in accordance with the provisions of Parts 1 and 2 of that Schedule;

Net Debt Statement means, in relation to each of the Company and the US Company, the statement of Net Debt prepared in accordance with Clause 7.1;

Net Debt Statement has the meaning set forth in Section 2.4(a) (Net Debt Statement; Net Debt Dividend);

Examples of Net Debt Statement in a sentence

• The Purchase Price is based on the Net Debt Statement of the Company according to Article 3.1 (a) above.

• As soon as reasonably practicable, but in no event later than sixty (60) days, after the Closing, the Parties shall jointly procure that the Company prepares, and delivers to Purchaser, in accordance with the Accounting Principles, a statement, in the form of the Benchmark Net Debt Statement and Benchmark Working Capital Statement, containing a calculation of the Net Debt and Working Capital as of the Closing Date (the “Closing Statement”).

• Seller shall not be liable under this Agreement in respect of any claim if and to the extent that any allowance, provision or reserve which is made in a Working Capital Statement or Net Debt Statement, specifically takes into account the matter giving rise to the claim.
