Net Cash Payment definition

Net Cash Payment means, with respect to the Purchase the amount set forth in the Purchase Request as the "Net Cash Payment" and, in respect of each Increase, the amount set forth in the related Increase Request as the "Net Cash Payment";
Net Cash Payment means (A) the CFB Cash Payment minus (B) the sum of the following: (i) the aggregate expenses incurred previously and hereafter by CFB in prosecuting the Goodwill Litigation and obtaining such CFB Cash Payment, (ii) the expenses incurred by CFB in connection with the creation, issuance and trading of the CALGZs and the CALGLs, including, without limitation, legal and accounting fees and the fees and expenses of the interest agent, (iii) an amount equal to the taxable portion of the net CFB Cash Payment (the taxable portion of the CFB Cash Payment less the expenses described in the preceding clauses (i) and (ii)) multiplied by the highest combined statutory rate of federal, state and local income taxes in effect in the taxable year in which the CFB Cash Payment is received, (iv) the aggregate amount of the payments due to the holders of the CALGZs, and (v) the aggregate amount of the payments due to the holders of the CALGLs.
Net Cash Payment means, with respect to any Disposition, the aggregate amount of all cash payments, and the fair market value of any non-cash consideration, received by the Company directly or indirectly in connection with such Disposition, provided that (a) Net Cash Payments shall be net of (i) the amount of any legal, title and recording Tax expenses, commissions and other fees and expenses paid by the Company in connection with such Disposition and (ii) any income or other Taxes estimated to be payable to a taxing authority by the Company as a result of such Disposition (but only to the extent that such estimated Taxes are in fact paid to the relevant Governmental Authority within one year of the date of such Disposition), provided that any portion of the Taxes contemplated in this clause (a)(ii) that are not paid within 30 days of receipt of the proceeds of such Disposition will become Net Cash Payments at the earlier of (x) the time at which it is determined that such Taxes are not payable and (y) the end of such period, (b) Net Cash Payments shall be net of any repayments by the Company of Indebtedness permitted pursuant to Section 10.6(c), including any prepayment premium thereon, to the extent that (i) such Indebtedness is secured by a Lien on the Property that is the subject of such Disposition and (ii) the transferee of (or holder of a Lien on) such Property requires that such Indebtedness be repaid as a condition to the purchase of such Property and (c) Net Cash Payments shall be net of any reserve for adjustment in respect of (i) the sale price of Property disposed of established in accordance with applicable Accounting Principles and (ii) any liabilities associated with such Property and retained by the Company after the Disposition thereof, including liabilities related to environmental matters or indemnification obligations associated with such transaction, provided that any portion of the reserves or liabilities contemplated by this clause (c) that are later reversed or canceled will become Net Cash Payments at the time of such reversal or cancellation.
