NBV definition

NBV. (Net Book Value) means as to an Owner’s interest in Shared Facilities, the original cost of such assets, plus the original cost of subsequently added Capital Improvements to such assets, less cumulative depredation which such Owner records in its Financial Reporting Accounts;
NBV is defined in Schedule 3;
NBV means, with respect to any asset being disposed, the GAAP book value of such asset (net of accumulated depreciation) determined based upon the most recent balance sheet of the Company.

More Definitions of NBV

NBV means GAAP total assets less total liabilities;
NBV means the net book value reflected on the Borrowersfinancial statements of the Eligible Spare Parts Inventory as determined in accordance with GAAP consistently applied and as adjusted from time to time on the books and records of either Borrower in accordance with GAAP.

The “Estimated NBV” shall mean $10,187,382, the calculation of which is set forth on Exhibit 2.10(b) for each of the Development Restaurants and which has been calculated as of 11:59 p.m. Dallas, Texas time on April 20, 2008.
NBV shall be as defined in the initial paragraph of this Credit Agreement.
NBV means NBV Loan Acquisition, LLC the successor in interest to GFB and therefore the Debtor’s mezzanine lender and potentially the Debtor’s secured lender.
