The indemnification provided by this Agreement shall be in addition to any rights to which Indemnitee may be entitled under Article VII of the Articles, any agreement, any vote of shareholders or disinterested directors, the NBCA, or otherwise, both as to action in Indemnitee’s official capacity and as to action in another capacity while holding such office.
It is the intent of this Agreement to secure for Indemnitee rights of indemnity that are as favorable as may be permitted under the NBCA and public policy of the State of Nevada.
To the extent that a change in the NBCA, whether by statute or judicial decision, permits greater indemnification than would be afforded currently under the Articles of Incorporation, By-laws and this Agreement, it is the intent of the parties hereto that Indemnitee shall enjoy by this Agreement the greater benefits so afforded by such change.
