Any act or thing lawfully done hereunder by either the Trustee or the Special Servicer shall be binding on MSMC and MSMC's successors and assigns.
MSMC does also hereby make, constitute and appoint ARCAP, acting solely in its capacity as Special Servicer under the Pooling and Servicing Agreement, MSMC's true and lawful agent and attorney-in-fact with respect to the Mortgage Loans in MSMC's name, place and stead solely to exercise and perform all of the rights, authority and powers of LaSalle as set forth in the preceding paragraph in the event of the failure or the incapacity of LaSalle to do so for any reason.
