MSLS. Marriott Senior Living Services, Inc., a Delaware corporation.
MSLS means Marriott Senior Living Services, Inc., and its permitted successors and assigns.
MSLS or "TOLERRX MSLS" means medical science liaisons employed by TolerRx who are fully qualified to provide expert information to the medical community on the subject matter of immunological tolerance. For clarity, MSLs shall not participate in the sales, marketing, or other commercialization of the Licensed Product. "TOLERRX MSL COSTS" means fully burdened FTE Costs pre-approved by Genentech and incurred by TolerRx for TolerRx MSLs, provided that all of the conditions set forth in Sections 3.4(f)(A) to (F) above are true and TolerRx complies fully with this Section 3.4(f). Genentech shall pay for [***] of TolerRx MSL Costs incurred by TolerRx during the [***] period set forth in Section 3.4(f)(B) above. Such payments shall be made within sixty (60) days from the end of the calendar quarter in which such TolerRx MSL Costs were incurred, provided that Genentech receives an invoice for such TolerRx MSL Costs on or before the end of such calendar quarter. If TolerRx has properly provided MSLs for the [***] period set forth in clause (B) immediately above, then to the extent (X) TolerRx continues to comply fully with this Section 3.4(f), and (Y) all of the foregoing conditions set forth in Sections 3.4(f)(A) to (F) above are all true, TolerRx MSL Costs incurred after such [***] period shall be included in the * Confidential treatment requested: material has been omitted and filed separately with the Commission. MSLS or “Medical Science Liaisons” shall mean persons responsible for (i) being an ambassador of, and advocate for, Novacea and/or Schering science within the healthcare community; (ii) developing and nurturing relationships with healthcare professionals that are centered on science; (iii) communicating accurate and balanced information regarding the benefits and risks of Novacea and/or Schering products; and (iv) interacting with managed care organizations, thought leaders, clinical investigators and other healthcare organizations to provide fair, balanced and scientifically rigorous information. For purposes of clarity, MSLs do not engage in promotional activities and are not sales representatives.
MSLS are defined as field-based clinical research employees of each of the Parties whose main function is to support clinical investigators in developing and conducting clinical trials. OSI MSLs may conduct activities with respect to Licensed Product only for so long as OSI is conducting clinical study activities within a OSI Lifecycle Initiatives (as defined in Section 4.3B(a) below in accordance with the following:
