MSG Group means MSG and each of its former and current Subsidiaries (or any predecessor organization thereof), and any corporation or entity that may become part of such Group from time to time thereafter. The MSG Group shall not include any member of the AMC Group or Spinco Group.

• Except (a) as provided in the Tax Disaffiliation Agreement or (b) when a longer retention period is otherwise required by Law or agreed to in writing, the MSG Group and the Spinco Group shall retain all Records relating to the MSG Business and the Spinco Business as of the Effective Time for the periods of time provided in each Party’s record retention policy (with respect to the documents of such party and without regard to the Distribution or its effects) as in effect on the Distribution Date.

• Nothing contained in this Agreement or the Plan shall be construed to confer on you any right to continue in the employ of the MSG Group or the Cablevision Group, as applicable, or derogate from the right of the MSG Group or the Cablevision Group, as applicable, to retire, request the resignation of, or discharge you, at any time, with or without cause.

MSG Group means MSG and each Person (other than any member of the Spinco Group) that is a Subsidiary of MSG immediately after the Distribution Date.

MSG Group have the meanings set forth for such terms, respectively, in the MSG TDA.

MSG Group means, as of the Distribution Date, MSG and each of its former and current Subsidiaries (or any predecessor organization thereof), and any corporation or entity that may become part of such Group from time to time thereafter. The MSG Group shall not include any member of the CVC Group. For the avoidance of doubt, the business of Fuse shall be deemed to be part of the MSG Group only from and after CVC’s contribution of that business to MSG on June 2, 2008 and part of the CVC Group prior thereto.

MSG Group has the meaning ascribed to the term “MSG Group” in the Distribution Agreement. “MSG Indemnified Party” includes each member of the MSG Group, each of their representatives and Affiliates, each of their respective directors, officers, managers and employees, and each of their heirs, executors, trustees, administrators, successors and assigns.

MSG Group means (x) with respect to any Tax Year (or portion thereof) ending at or before the Effective Time, MSG and each of its Subsidiaries at the Effective Time; and (y) with respect to any Tax Year (or portion thereof) beginning after the Effective Time, MSG and each Subsidiary of MSG (but only while such Subsidiary is a Subsidiary of MSG).

MSG Group means The Madison Square Garden Company (to be renamed MSG Networks Inc.) and any of its subsidiaries. The “MSG Spinco, Inc. Group” means MSG Spinco, Inc. (to be renamed The Madison Square Garden Company) and any of its subsidiaries. For purposes of this Agreement, if you are employed by the MSG Group, your “Employer” means The Madison Square Garden Company; if you are employed by the MSG Spinco, Inc. Group, your “Employer” means MSG Spinco, Inc.; and if you are employed by both the MSG Group and the MSG Spinco, Inc. Group, your “Employer” shall mean The Madison Square Garden Company. 1 To be included for proxy reported officers.

MSG Group means MSG and each of its former and current Subsidiaries (or any predecessor organization thereof), and any corporation or entity that may become part of such Group from time to time thereafter. The MSG Group shall not include any member of the AMC Group or Spinco Group. “MSG Separation” shall have the meaning ascribed thereto in the preamble to this Agreement. “NASDAQ” means The NASDAQ Stock Market LLC. “NYSE” means the New York Stock Exchange, Inc. “Party” and “Parties” shall have the meanings ascribed thereto in the preamble to this Agreement. “Spinco” shall have the meaning ascribed thereto in the preamble to this Agreement. “Spinco Business” means all businesses and operations conducted by the Spinco Group from time to time, whether prior to, at or after the Distribution Date, including the businesses and operations conducted by the Spinco Group as more fully described in the Spinco Information Statement and excluding the MSG Business, AMC Business and CVC Business. “Spinco Common Stock” means the Class A Common Stock, par value $0.01 per share, of Spinco and Class B Common Stock, par value $0.01 per share, of Spinco. “Spinco Employee” means any individual who is employed by Spinco or any member of the Spinco Group in a capacity considered by Spinco to be common law employment, including active employees and employees on vacation and approved leaves of absence (including maternity, paternity, family, sick, short-term or long-term disability leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, and leave under the Family Medical Leave Act and other approved leaves). “Spinco Group” means, as of the Distribution Date, Spinco and each of its former and current Subsidiaries (or any predecessor organization thereof), and any corporation or entity that –4– SC1:3907093.2 may become part of such Group from time to time thereafter.
