Neither the Company, nor, to its knowledge, any of its employees, directors or stockholders (without the consent of MJ) has taken or will take, directly or indirectly, any action designed to or that has constituted or that might reasonably be expected to cause or result in, under the Exchange Act, or otherwise, stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Units.
Prior to the consummation of a Business Combination, the Company will not amend its Certificate of Incorporation without the prior written consent of MJ.
The Escrow Agreement shall not be amended, modified or otherwise changed without the prior written consent of MJ.
