Forthwith after receipt of such verbal notice on a Purchase Date, the Liquidity Agent shall inform the Securitization Agent of the Overnight Rate or the BA Rate (or, if applicable, the Prime Rate) or the U.S. Note Rate, as the case may be, at the particular time and the Securitization Agent shall arrange for the issue of Notes to yield the Minimum Yield during the term thereof.
Without limiting the foregoing, Company shall have the right to reject any individual Contract Wafer or its entire Lot which do not meet the Minimum Yield.
Foundry may notify Company of any Contract Wafer that is below the Minimum Yield, and Company may, at its discretion, agree to accept delivery of such Wafer at a mutually agreed upon price.
Borrowers’ obligations under this Section 2.12 are in addition to Borrowers’ obligations to pay any Unused Fee, Extension Fee, Minimum Yield Fee and/or any other fee set forth in this Agreement or any Fee Letter applicable to a payment or prepayment of the Loans.
The payment of any Minimum Yield Fee shall be due no earlier than five (5) Business Days after the Borrower Representative’s receipt of written notice thereof from the Administrative Agent, which written notice shall include a calculation of the Minimum Yield Fee.
