Minimum Share Price definition

Minimum Share Price has the meaning set forth under Section 4.07(f)(iii).
Minimum Share Price means, as of any date of determination, the greater of (a) the Original Conversion Price (subject to adjustment herein) and (b) the VWAP on the Trading Day immediately preceding the applicable date of determination.

  • The relevant reference price for the calculation of the Minimum Share Price Increase is the volume-weighted average share price of the Company in XETRA (or a system with similar functions that replaces XETRA) on the Frankfurt Stock Exchange during the last three months prior to the expiry of the relevant three-year period.

Minimum Share Price shall equal $0.05 per share, or such lower number as the Investor may determine at its sole discretion.

Minimum Share Price over a specified time period shall mean the average per share closing price of the Common Stock over such period; provided, that in the event of any change in the shares of capital stock of Franklin by reason of any stock dividend, stock split, recapitalization, reorganization, merger, consolidation, split-up, combination, exchange of shares or similar change affecting the shares, the Minimum Share Price shall be appropriately adjusted consistent with such change in such manner as is equitable to carry out the intent of the parties hereunder.
