The relevant reference price for the calculation of the Minimum Share Price Increase is the volume-weighted average share price of the Company in XETRA (or a system with similar functions that replaces XETRA) on the Frankfurt Stock Exchange during the last three months prior to the expiry of the relevant three-year period.
The Administrative Board may, by individual contract or in the option conditions, raise the Minimum Share Price Increase to 20 %, which is to be measured either within the above-mentioned Performance Period or for the entire waiting period.
If the Minimum Share Price Increase is not achieved, the Share Options are forfeited without replacement.
