Minimum Performance Guarantees definition

Minimum Performance Guarantees means the guarantees set forth in Exhibit D-1.

• If Seller exhausts all reasonable repair and replacement alternatives but only the Minimum Performance Guarantees are satisfied, then the Purchase Price shall be reduced as set forth in Section 3.5.
