Minimum Conversion Rate definition

Minimum Conversion Rate has the meaning set forth in Section 2.3(b) hereof.
Minimum Conversion Rate means 28.1480 Common Shares per share of Series A Preferred Stock, which is equal to $1,000, divided by the Threshold Appreciation Price, subject to adjustment pursuant to Section 9 of this Subdivision.
Minimum Conversion Rate means 10.8554 shares of Common Stock per share of Mandatory Convertible Preferred Stock, subject to adjustment as set forth in Section 13.

  • The adjusted Stock Prices shall equal the Stock Prices applicable immediately prior to such adjustment multiplied by a fraction, the numerator of which is the Minimum Conversion Rate immediately prior to the adjustment giving rise to the Stock Price adjustment and the denominator of which is the Minimum Conversion Rate as so adjusted.

Minimum Conversion Rate shall have the meaning set forth in the definition of Conversion Rate.
