In certain cases, though, obligations imposed upon Meritage may be satisfied by a subsidiary of Meritage.
All amounts payable by Meritage in accordance with this Agreement shall be paid without notice or demand.
Any payment made or action taken by a subsidiary of Meritage shall be considered to be a payment made or action taken by Meritage for purposes of determining whether Meritage has satisfied its obligations under this Agreement.
Meritage will require any successor (whether direct or indirect, by purchase, merger, consolidation or otherwise) to all or substantially all of the business and/or assets of Meritage or any of its subsidiaries to expressly assume and agree to perform this Agreement in the same manner and to the same extent that Meritage or any subsidiary would be required to perform it if no such succession had taken place.
The obligations of Meritage that arise prior to the expiration of this Agreement shall survive the expiration of the term of this Agreement.
