The Parties hereby agree and acknowledge that, for U.S. federal income tax purposes, (i) the Mergers, taken together, are intended to qualify as exchanges described in Section 351 of the Code and (ii) the Company Merger qualifies as a “reorganization” within the meaning of Section 368(a)(2)(E) of the Code and that this Agreement be, and hereby is, adopted as a “plan of reorganization” for purposes of Section 368 of the Code.
