Maximum Subscription Amount definition

Maximum Subscription Amount means an amount equal to the maximum amount of the Advance the Bank may, at its absolute discretion and subject to this T&C-UTES, grant to the Customer to subscribe the Switch-in Fund, or such other amount as the Bank may at its absolute discretion consider appropriate. Without prejudice to the Bank’s right to exercise its absolute discretion, it is estimated based on the latest available unit price, on the date of the Order, of the Switch-out Fund, times the number of Units to be redeemed, and calculated at a Discount Ratio; and if the Switch-in Fund and the Switch-out Fund are denominated in different currencies, the Applicable Exchange Rate will be applied for conversion.
Maximum Subscription Amount means, with respect to any Eligible Offeree, an amount equal to the result of (i) the quotient of (x) the aggregate amount of Allowed Convertible Notes Claims held by such Eligible Offeree divided by (y) the aggregate amount of all Allowed Convertible Notes Claims; multiplied by (ii) the Non-Holdback Rights Offering Amount; multiplied by (iii) the Purchase Price.
Maximum Subscription Amount means (euro)100 million, as such amount may be reduced on a Euro-for-Euro basis by an amount equal to (a) the net proceeds of any assets sold by the Debtor prior to the Effective Date, other than assets sold in the ordinary course of the Debtor's business in a manner consistent with its past practices, and (b) the net proceeds from any non-dilutive capital raised by the Debtor (other than capital received by the Debtor from UGC or its Related Parties).
