Maximum Guaranty Amount definition

Maximum Guaranty Amount means, with respect to any Guarantor at any time, (i) the full amount of the Guaranteed Obligations at such time or (ii) if any court of competent jurisdiction determines in any action to enforce this Guaranty that enforcement against such Guarantor for the full amount of the Guaranteed Obligations is not lawful under or would be subject to avoidance under Section 548 of the Bankruptcy Code or any applicable provision of any comparable law of any state or other jurisdiction, then the maximum amount lawful and not subject to such avoidance.
Maximum Guaranty Amount is defined in Section 1.5(i).
Maximum Guaranty Amount has the meaning set forth in Section 11.07.

Examples of Maximum Guaranty Amount in a sentence

  • Without limiting the generality of the foregoing, the determination of a Maximum Guaranty Amount for any Affected Guarantor pursuant to the provisions of the second preceding sentence of this Section 11.07 shall not in any manner reduce or otherwise affect the obligations of any other Guarantor (including any other Affected Guarantor) under the provisions of this Article XI.

Maximum Guaranty Amount means, at any time, the greatest of (i) ninety-five percent (95%) of the Adjusted Net Worth of Guarantor at such time, (ii) ninety-five percent (95%) of the Adjusted Net Worth of Guarantor on the date hereof and (iii) the value derived by Guarantor from the Guaranteed Obligations incurred at or prior to such time.
Maximum Guaranty Amount means (i) with regard to any indemnity claims of Buyer pursuant to Section 14.3 (subject to the limitations of Section 14.5) an amount not to exceed twenty percent (20%) of the Purchase Price and (ii) with regard to any payments due by Seller to Buyer pursuant to Annex I, an amount equal to the aggregate of that portion, if any, of the Allocated Value of each Wellbore allocable to any Lease as to which Seller has not received recorded assignments of its interest as of the Closing Date, less the estimated sum of proceeds due Seller for periods prior to the Effective Time attributable to Wellbores which are not on pay status as of the Closing Date; provided that the Maximum Guaranty Amount under this clause (ii) shall adjust proportionately over time as Seller receives and records assignments of its interests or receives proceeds for Wellbores previously not on pay status.
