Maximum Guaranty Amount definition

Maximum Guaranty Amount means, with respect to any Guarantor at any time, (i) the full amount of the Guaranteed Obligations at such time or (ii) if any court of competent jurisdiction determines in any action to enforce this Guaranty that enforcement against such Guarantor for the full amount of the Guaranteed Obligations is not lawful under or would be subject to avoidance under Xxxxxxx 000 xx xxx Xxxxxx Xxxxxx Bankruptcy Code or any applicable provision of any comparable law of any state or other jurisdiction, then the maximum amount lawful and not subject to such avoidance.
Maximum Guaranty Amount means, at any time, the greatest of (i) ninety-five percent (95%) of the Adjusted Net Worth of Guarantor at such time, (ii) ninety-five percent (95%) of the Adjusted Net Worth of Guarantor on the date hereof and (iii) the value derived by Guarantor from the Guaranteed Obligations incurred at or prior to such time.
Maximum Guaranty Amount is defined in Section 1.5(i).

Examples of Maximum Guaranty Amount in a sentence

  • Without limiting the generality of the foregoing, the determination of a Maximum Guaranty Amount for any Affected Guarantor pursuant to the provisions of the second preceding sentence of this Section 11.07 shall not in any manner reduce or otherwise affect the obligations of any other Guarantor (including any other Affected Guarantor) under the provisions of this Article XI.

Maximum Guaranty Amount has the meaning set forth in Section 11.07.

Maximum Guaranty Amount means an amount equal to the product of (i) twenty-five percent (25%) and (ii) the outstanding principal amount of the Loan as set forth in a written notice from Lender to Guarantor that an Event of Default has occurred under the Loan Agreement and that Lender has accelerated the Loan (or the Loan has otherwise matured pursuant to the stated maturity date contained in the Loan Documents, or Borrower is in breach of any or all of subparagraphs 1(b)(i), (ii) or (iii) above) and is entitled to recover the Maximum Guaranty Amount pursuant to this Guaranty, and setting forth the outstanding principal amount of the Loan as of the date of such notice, subject to the provisions of Section 2(b), and (y) the terms Maximum Guaranty Amount, Recourse Obligations and Fees and Costs mean, individually and collectively, “Obligations”.

Maximum Guaranty Amount means an amount equal to the Base Guaranty Amount plus the Guaranty Adjustment Amount.
Maximum Guaranty Amount means the maximum amount of the Guarantors' joint and several liability to the Lender under this Agreement, which shall be an amount equal to the sum of (1) the lesser of (A) the aggregate amount of the Obligations outstanding upon the maturity thereof, whether by acceleration or otherwise, and (B) $10,000,000, plus (2) interest on the amount determined under clause (1) of this definition at the Default Rate from the date demand for payment thereof is made by the Lender on the Guarantors or either of them until payment in full under the terms of this Agreement, plus (3) any and all enforcement expenses incurred by the Lender in enforcing the obligations of the Guarantors or either of them under this Agreement as provided in Section 8.
