Maximum Cost definition

Maximum Cost means the maximum cost to be paid by HP for the Services specified in a particular Statement of Work to be performed under this Agreement.

Maximum Cost means THIRTY-SEVEN MILLION FOUR HUNDRED THOUSAND DOLLARS ($37,400,000.00) with respect to the Theater Phase (excluding any additional improvements to leasable areas of the Casa de Mexico Building undertaken by the Contracting Party subsequent to or contemporaneously with the Theater Phase, provided that such improvements are funded by grants or tax credit programs in excess to such tax credits or grants obtained for the Theater Phase); provided, however, that the Contracting Party may increase the Maximum Cost if the Contracting Party is able to raise additional capital. If the Theater Phase cannot be designed to the Theater Phase Budget equal to or less than the applicable Maximum Cost, as determined in the reasonable opinion of the Contracting Party at any time prior to commencing construction, then the Contracting Party may elect to terminate its participation under this Agreement, whereupon such Contracting Party shall be relieved of its obligation to complete such Phase and the remaining funds in the applicable Project Disbursement Fund shall be returned to the contributing Parties in pro rata shares equal to the contributions made by such Parties.
