Materiality Qualifier definition
Materiality Qualifier means a qualification to a representation or warranty by use of the word “material,” “materially” or “materiality” or by a reference regarding the occurrence or nonoccurrence or possible occurrence or non-occurrence of a Seller Material Adverse Effect or a “materially adverse effect” or a “material and adverse effect” or any similar term.
Materiality Qualifier means any qualification for or references to “materially,” “materiality,” “material,” “in all material respects,” “Material Adverse Effect,” “material adverse change” and words of similar import.
Materiality Qualifier has the meaning set forth in Section 8.05(d).
Examples of Materiality Qualifier in a sentence
The representations and warranties of Buyer in ARTICLE 5 will be true and correct in all material respects as of the Closing Date as though made on and as of the Closing Date (but, in each case, if any representation and warranty is expressly stated to have been made as of a specific date, then instead, for such representation and warranty, as of such specific date), in each case determined without regard to any Materiality Qualifier contained in such representation or warranty.
