Examples of Material Vendors in a sentence
There are no outstanding disputes with any of such Material Vendors or Material Customers.
As of the date of this Agreement, none of the Material Channel Partners, Capital Providers or Material Vendors (i) has cancelled or otherwise terminated any Contract with the Company or any Company Subsidiary prior to the expiration of the contract term, or (ii) to the Company’s Knowledge, has threatened to cancel or otherwise terminate its relationship with the Company or any Company Subsidiary.
Except as set forth in Section 4.18 of the Disclosure Schedule, since the date of the Acquisition Balance Sheet, none of the Material Customers or Material Vendors have delivered to the Company any written notice which (a) in the case of any Material Customer, materially adversely changed its payment or pricing terms or its current agreements, programs or commitments with the Company or (b) in the case of any Material Vendor, materially decreased its commitment to the Company.
Except as listed on Section 5.23 of the Disclosure Schedule, the Company has not received any notice, and has no reason to reasonably believe that any of the Material Vendors have ceased, or intend to cease, to supply goods or services to the Company or to otherwise terminate or materially reduce their relationship with the Company.
Except as set forth on Section 4.11(b) of the Company Disclosure Letter, all Company Material Vendors continue to be vendors of the Company and its Subsidiaries, and no Company Material Vendor has materially reduced its business with the Company and its Subsidiaries from the levels achieved between January 1, 2021 and December 31, 2021.
