Material Payor definition

Material Payor has the meaning specified in Section 5.28.
Material Payor means any customer, client or payor of the Companies that has accounted for gross revenues to the Companies of more than $50,000 during either of the years ended December 31, 2012 or December 31, 2013 and any other customer, client or payor of the Companies that the Companies reasonably anticipate will account for gross revenues to the Companies of more than $50,000 during the current fiscal year.
Material Payor has the meaning set forth in Section 3.8(d).

Examples of Material Payor in a sentence

  • No Seller Party has received any written notice from any Material Payor to the effect that it will, and to the Knowledge of Seller, no Material Payor intends to, cease doing business with or materially diminish the amount or terms (whether related to payment, price or otherwise) of the business that it is currently doing with the Business.

  • Further, except as set forth on Section 4.22(b) of the Company Disclosure Schedule, to the Knowledge of the Company, no Material Payor presently intends to deliver any such notice.

Material Payor has the meaning set forth in Section 3.23(a).
Material Payor means the (i) ten (10) largest third party payors (commonly referred to pharmacy benefit managers) of the Sellers, taken as a whole, and (ii) ten (10) largest plan sponsors (commonly referred to as payors), in each case, measured in terms of annual revenues to the Sellers, taken as a whole, for the year ended December 31, 2011.
