Material Participation definition
Material Participation means involvement in the development and operation of the project on a basis which is regular, continuous, and substantial as defined in Code Section 42 and 469(h) of the regulations promulgated hereunder.
Material Participation means the regular, continuous and substantial involvement in the operation of the development throughout the Compliance Period, as defined in Section 469(h) of the Code and the regulations promulgated under the Code, codified at 26 CFR § 1.469-5T.

Activity as a limited partner is not considered material participation. Material participation is to be established in an activity that constitutes the principal business or activity of the taxpayer. Simply consenting to someone else’s decisions or periodic consultation with respect to general management decisions is not sufficient. A regular on-site presence at the operations is indicative of material participation where providing services as an independent contractor is not.
