Purchaser with respect to Section 2.2.3 and this Article 4 and Seller with respect to Sections 2.3.4 and 4.1 shall keep complete and accurate books and records for purposes of documenting the amount and calculations of, as applicable, Net Sales [***], Gross Profit, Gross Profit Split, the Compensatory Payments and, to the extent it is a basis for an increase in the Transfer Price pursuant to Section 4.1, increases in Raw Material Costs and Labor Costs.
The contractor shall provide a proposal based on the PWS issued at the task order level which may include one or more of the subtasks listed in accordance with the PWS dtd 28 Jan 19 at section 4.1 to 4.1.3. Total Price negotiated at Task Order level to include Labor Categories, Labor Hours, Travel and Material Costs.
Seller shall provide Purchaser with reasonable documentation evidencing the applicable increases in Seller’s Raw Material Costs and Labor Costs with Seller’s notice of the price increase.
Upon request by Company, AAIPharma shall provide reasonable documentation that reflects the increase in cost of Raw Material Costs.
Unless Seller disputes the value of a Defect or the amount of a Material Cost claimed, or if the parties otherwise mutually agree, disbursements pertaining to claims for Defects and Material Costs, as set forth above, shall be the amount(s) claimed by Buyer.
