Manufacturing IP definition

Manufacturing IP as defined in Section 1.2.1 and potentially modified pursuant to Section 4.3.3.
Manufacturing IP means the Intellectual Property of the Seller Parent that the applicable member of the Transferred Group requires in order to be able to manufacture and supply products to the Buyer Parent pursuant to the Manufacturing and Supply Agreement.
Manufacturing IP means any Patents and Know-How that (i) are generated, developed or conceived during the course of performing activities under this Agreement depending on Duality Licensed IP, and (ii) specifically related to, and (iii) are necessary for the Manufacture of the Duality Linker-Payload; notwithstanding the foregoing, Manufacturing IP shall exclude Licensee Background IP.

Examples of Manufacturing IP in a sentence

  • Any exclusive license granted pursuant to this Agreement between AKERO and AMGEN will be an exclusive, sub-licensable (through multiple tiers), transferable, worldwide license to make, use, sell, offer for sale, import and otherwise exploit any products and/or processes under AKERO’s rights in such AKERO Manufacturing IP but subject to AKERO’s retained right and license to use such AKERO Manufacturing IP to Exploit the Product in the Licensed Field in the Territory during the Term.

  • All costs associated with the assembling, copying and delivering of such Manufacturing IP shall be borne by the Party who is producing the documents and other items described above.

  • Upon written request by Zymeworks, ▇▇▇▇ will engage in good faith discussions for a period of [***] regarding the commercially reasonable terms and conditions for Jazz to grant a license to Zymeworks to use such Jazz Manufacturing IP for the sole purpose of making and having made Licensed Antibody, Licensed Product and ZW49 (or Zanidatamab Zovodotin).

  • Manufacturing IP also includes information respecting the suppliers for bellows, tips, applicators, packaging and any other Products features that are not manufactured by SMI but included within the Products (collectively, the “Acquired Components”) and any New Intellectual Property incorporated into or used with any Product.

  • Prior to the expiration of the applicable option period, AKERO will not grant any Person any rights in or to the applicable Manufacturing IP.


More Definitions of Manufacturing IP

Manufacturing IP has the meaning assigned to such term in Section 5.
Manufacturing IP means polynucleotides and expression vectors and all Intellectual Property including but not limited to know-how, information, data, standard operating procedures to operate production equipment, protocols and procedures which are owned by the Business Vendors and are directed exclusively to Drug Substance and/or Vaccine and/or use thereof and/or are used exclusively in the manufacturing of Drug Substance; a combination of information and/or know-how, and/or data and/or procedures that is “directed exclusively” or “used exclusively” with respect to the foregoing shall be included in Manufacturing IP provided and to the extent that the combination is used in conjunction with a cell bank and/or polynucleotide and/or expression vector that is directed exclusively to Vaccine and/or Drug Substance or use thereof and/or that is used exclusively in the manufacturing of Drug Substance, even if one or more components of such combination is not “directed exclusively” and/or “used exclusively” with respect to the foregoing and such one or more components is not Manufacturing IP; and books and records that include the foregoing, and books and records maintained with respect to the manufacturing of Drug Substance, including but not limited to batch manufacturing records, master batch records and specifications for the Drug Substance, in each case except to the extent the UK Vendor is required to retain ownership of such books and records for regulatory purposes;
Manufacturing IP means the Intellectual Property Rights of Supplier as defined in Section 3.1.
Manufacturing IP means any issued Patents that Cover the manufacture (including without limitation, processes, expression technology, formulations and assays developed for clinical or commercial manufacturing) of a Compound and which inventions claimed by any such Patent were conceived or reduced to practice solely by GNE in the course of performance by GNE under the Research License or any Research Program. Where reasonably possible, GNE agrees to notify Immunocore of any Manufacturing IP within [***] of issue of any Patent within the Manufacturing IP.
Manufacturing IP means the [***] Manufacturing Patents and other Licensor IP Rights (as defined in the [***] License Agreement).
Manufacturing IP means (i) all Glenmark IP and Joint IP relating in any way to the manufacturing or analysis of Crofelemer API, and to the scaling up of manufacturing of Crofelemer API (ii) the complete and current technical documentation for the manufacturing and analysis of Crofelemer API (including, specifically, process development and/or optimization documentation for both Ankleshwar and Aurangabad) and for the scaling up of manufacturing of Crofelemer API (including all assays and analytical methods listed in Schedule 1.62), and (iii) the complete, and current contact information for Glenmark Vendors, if any, who have served Glenmark as a supplier, contract manufacturer or vendor of any Crofelemer API-related materials or services for, or related to, the manufacturing or analysis of Crofelemer API, during the term of the Original Agreement.
