During the period from the date hereof to and including the [***] anniversary of the Closing Date (the “Noncompete Period”), Isis and its Affiliates shall not engage in and shall not have any affiliation with any Person that engages in a line of business that competes with the Business as conducted on and prior to the Closing Date and as contemplated by Ibis and Isis to be conducted after the Closing Date, as reflected in the Offering Memorandum and the Management Presentations.
Seller shall have no liability or obligation to indemnify any Buyer Indemnitee with respect to the breach of any representation, warranty, covenant or agreement based on the information provided in the Confidential Information Memorandum, the Management Presentations or Seller’s written responses to Buyer’s due diligence inquiries.
Delphi may, in its discretion, coordinate diligence efforts such that multiple Qualified Bidders have simultaneous access to due diligence materials and/or simultaneous attendance at Management Presentations or site inspections.
The Buyer acknowledges that the Confidential Management Presentations were provided to it on the basis that none of the Sellers nor any of their advisers makes any representation or warranty as to the accuracy or completeness of such information or accepts any duty of care to the Buyer in respect of the provision of such information.
Due diligence access may include Management Presentations as may be scheduled by Delphi, access to data rooms, on site inspections and such other matters which a Qualified Bidder may request and as to which Delphi, in its sole discretion, may agree.
