Majeure Event definition

Majeure Event means an event or circumstance beyond the Partiesreasonable control that prevents either Party from complying from any of its obligations under the Contract; FOIA means the Freedom of Information Act 2000;
Majeure Event means an event beyond the reasonable control of the Vendor including act of God, fire, flood or other physical disaster, disruption to transport infrastructure, supply or production facilities, but does not include industrial action.
Majeure Event means an event beyond a Party's control.

  • The Impacted Party shall use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Event are minimized.

  • Notwithstanding anything to the contrary contained in this Agreement, refusal of or inability to obtain any such permits and approvals by the Contractor or any of its Sub- contractors or their sub-contractors shall not constitute a Force Majeure Event, and shall not in any manner excuse the Contractor from the performance and discharge it of its obligations and liabilities under this Agreement, and the Contractor’s liabilities hereunder shall remain unaffected by such failure, refusal or inability.

  • Contractor will promptly notify the State of any delay caused by a Force Majeure Event (to be confirmed in a written notice to the State within one (1) day of the inception of the delay) that a Force Majeure Event has occurred, and will describe in reasonable detail the nature of the Force Majeure Event.

  • Contractor will not increase its charges under this Contract or charge the State any fees other than those provided for in this Contract as the result of a Force Majeure Event.

  • The non-performing Party will be excused from performing those obligations directly affected by the Force Majeure Event, and only for as long as the Force Majeure Event continues, provided that the Party continues to use diligent, good faith efforts to resume performance without delay.

Majeure Event means an event outside the control of a party.

Majeure Event means an event beyond a Party's control. Group has the meaning given to it in section 474 of the Companies Xxx 0000.
Majeure Event means all events beyond the control of the affected party including war, hostilities, invasion, riot, civil commotion, strikes, government control, royal bereavement, lock-outs, fire, flood, storm or other natural catastrophe; Ordinary Expenses means the expenses incurred by the Customer and the Customer’s Attendees during the Event; Services means the Event Services and/or the Bespoke Services, as applicable, and as set out in the Key Terms; and Start Date means the date of receipt by ENSO of the Customer’s acceptance of this Agreement, whether online or in hard copy.
Majeure Event means any occurrence or omission outside of QARC System's reasonable control and includes without limitation natural disasters, civil unrest, war, strikes, industrial disputes, labour disputes and shortages, inability to obtain or access equipment, facilities, services, power or other utilities, accidents, and any change in law or regulatory requirement; Intellectual Property Rights means all industrial and intellectual property rights throughout the world, whether registered or unregistered, including without limitation copyright, future copyright, patents, designs, trade marks, domain names, business names, company names, service marks, circuit layout rights, data and database rights, know how, trade secrets and all applications and rights in relation to registration of such rights, whether created before, on or after the date of this agreement; Licence means the licence granted by QARC Systems in clause 1.1 of these terms and conditions; Manufacturer means a third party manufacturer and/or supplier of real-world products (e.g. appliances, building materials) who enters into an agreement with QARC Systems to make a branded BIM Object version of their product available for download in QARC; QARC means the Delivery System, the Archetype Template and its associated files, the BIM Library, the Companion, support articles, the Check Lists and any other "help" items made available to the Licensee by QARC Systems from time to time.
Majeure Event means any event beyond the reasonable control of the Party affected which the Party by exercise of due diligence shall be unable to overcome, including but without limitation failure of plant or facilities, flood, earthquake, storm, lightning, fire, explosion, epidemic, war, riot, civil disturbance, labor stoppage, sabotage, restraint by court or public authority, or the necessity for compliance with Applicable Law. No Party shall, however, be relieved of liability for failure of performance if such failure is due to causes arising out of its own negligence or to causes which it could, but fails to, remove or remedy with reasonable dispatch. If any Party is prevented by a Force Majeure Event from carrying out any obligations hereunder, the obligations of that Party insofar as such obligations are affected by the Force Majeure Event shall be suspended while, but only for so long as, the Force Majeure Event continues to prevent the performance of such obligations. Any Party prevented from carrying out any obligations by Force Majeure Event shall within seven (7) days give the other Party notification of the Force Majeure Event including reasonably full particulars in respect thereof. Upon cessation or abatement of the Force Majeure Event, the Party affected by the Force Majeure Event shall promptly resume performance and the time for observance of the condition or performance of the obligations in question shall be extended for a period equivalent to the total period during which the Force Majeure Event exists.
