Majeure Event definition

Majeure Event has the meaning specified in clause 15.1;
Majeure Event means an event or circumstance beyond the Partiesreasonable control that prevents either Party from complying from any of its obligations under the Contract; FOIA means the Freedom of Information Act 2000;
Majeure Event means an unforeseeable event beyond the reasonable control of a party, including without limitation: act of God; fire; flood; epidemics, pandemics, or outbreaks of communicable diseases; quarantines; national or regional emergencies; labor strike or unrest; sabotage; cable cuts; acts of terror; power shortage or power failure, e.g., rolling blackouts; material shortages or unavailability or other delay in delivery not resulting from ZoomOnline’s failure to timely deliver on orders or services therefore; lack of or delay in transportation; government codes, laws, regulations, ordinances, rules, or restrictions; war or civil disorder; or failures of suppliers of goods and services.

Examples of Majeure Event in a sentence

  • During the period that the non-performing Party is unable to perform, the other Party shall also be excused from performance of its obligations to the extent such obligations are reciprocal to, or depend upon, the performance of the non-performing Party that has been prevented by the Force Majeure Event.

  • The Party affected by a Force Majeure Event shall give prompt notice to the other Party, shall be excused from performance of its obligations hereunder on a day to day basis to the extent those obligations are prevented by the Force Majeure Event, and shall use reasonable efforts to remove or mitigate the Force Majeure Event.

  • If the Services to be provided to the County are interrupted by a Force Majeure Event, as defined below, the County will be entitled to an equitable adjustment to the fees and other payments due to the Contractor under this Contract.

  • All obligations of both Parties shall return to being in full force and effect upon the earlier to occur of (i) the passing of the Force Majeure Event or (ii) the failure of the Delayed Party to satisfy the conditions and/or perform its covenants under this Article.

  • Where the Supplier is the Affected Party, it shall take all steps in accordance with Good Industry Practice to overcome or minimise the consequences of the Force Majeure Event.

Majeure Event means any cause, matter or thing beyond the affected party's reasonable control, including, without limitation, strikes lockouts, labour disputes, acts of God or nature, acts of governments or their agencies, fire, flood, storm, riots, pandemic, power shortages or power failure, or disruption by war or sabotage;

Majeure Event means any cause beyond a Party’s reasonable Framework Agreement means the framework agreement between (1) Jisc GDPR means Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and repealing Directive 95/46/EC (General Data Protection Regulation) OJ L 119/1, 4.5.2016; Group means, in relation to a Party, the Party, its subsidiaries, its holding companies and any subsidiaries of such holding companies, "subsidiary" and "holding company" having the meanings given to them in section 1159 of the Companies Act 2006; Implementation Date means the date on or by which the Contractor Order Form means the Contractor’s service order form relating to this Contract, which is set out in Schedule 3; Personal Data has the meaning given to it in the GDPR; Personal Data Breach has the meaning given to it in the GDPR and, for Processing has the meaning given to it in the GDPR (and "Process" and "Processed" shall be construed accordingly); Processor has the meaning given to it in the GDPR; Regulator means the UK Information Commissioner's Office (including any successor or replacement body);
Majeure Event means any event due to any cause beyond the reasonable control of the Service Provider or, as applicable, any Administrative Support Provider, such as unavailability of communications systems or pricing information, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war or acts of government, or suspension or disruption of any relevant stock exchange or securities clearance system or market. The Service Provider will use reasonable efforts to minimize the adverse effects to the Client of any Force Majeure Event.
Majeure Event means an event beyond the reasonable control of the Vendor including act of God, fire, flood or other physical disaster, disruption to transport infrastructure, supply or production facilities, but does not include industrial action.
