LTIP Shares means the compensation in the form of stock options and restricted stock awards or restricted stock units issued to employees and directors of FairPoint and its Subsidiaries pursuant to the Long Term Incentive Plan (as defined in the Plan of Reorganization).

LTIP Shares means the shares, authorized as of the Effective Date for issuance pursuant to the LTIP equaling 10% of the fully- diluted Reorganized PEC Common Stock (after giving effect to the exercise of the Penny Warrants and the conversion of the Preferred Equity).
