Lock-Up Event definition

Lock-Up Event means the failure of either the Backward Interest Coverage Ratio or the Projected Interest Coverage Ratio as of any Calculation Date to be greater than 3.50:1.00.
Lock-Up Event means the failure to achieve the Applicable Minimum EBITDA.
Lock-Up Event means the delivery of a Compliance Certificate which does not show compliance with (and satisfaction of) the conditions set out in paragraphs (c)(i) and (ii) of Condition 7.18 (Dividends, share redemption and other distributions).

More Definitions of Lock-Up Event

Lock-Up Event means, on any Calculation Date, the failure of the Consolidated Total Indebtedness to Consolidated Capitalization Ratio as of such Calculation Date to be less than 65%.

For greater certainty, a Lock-Up Event will be deemed to occur if the transfer required by Section 2.5(f)(4)(A) is not made, notwithstanding that as a result of the Lock-Up Event the required transfer will be that specified in Section 2.5(f)(4)(B).
