To the extent that the undertaking to pay the Loan Agent or the Trustee set forth in the preceding sentence may be unenforceable because it is violative of any law or public policy, the Borrower shall make the maximum contribution to the payment and satisfaction of each of the covered expenses which is permissible under applicable law, subject to the limitations and qualifications set forth in the preceding sentence and the Priority of Payments.
The incurrence of Additional Loans under this Agreement shall be subject to (i) satisfaction of the conditions set forth in Section 2.13 of the Indenture and (ii) the execution and delivery of an amendment to this Agreement in accordance with Section 8.12 that reflects the incurrence of such Additional Loans and the terms thereof, which amendment will be acknowledged by the Loan Agent and the Trustee.
Pursuant to Section 3.7 of the Credit Agreement, the undersigned hereby provides notice to the Trustee, the Loan Agent and the Borrower that it is exercising the Conversion Option.
It has been duly organized and is validly existing as a national banking association with trust powers under the laws of the United States and has the power to conduct its business and affairs as Loan Agent and as Trustee.
No consent of the Borrower or the Loan Agent shall be required for any assignment by a Lender to another Lender.
