Absent the occurrence of an Event of Default, Company may enforce all of its rights under the LLCA and each Subscription Agreement.
The Company will reasonably cooperate with any holder with respect to establishing any exemption or reduction from withholding as provided in the Company LLCA in connection with an exchange or redemption by a member.
To the knowledge of the Company, no Investor is in default under the LLCA or its Subscription Agreement or its Side Letter, other than that which has been disclosed in writing by the Company to the Administrative Agent.
