If any entity (a “Litigant”) institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution, or the Work to which you have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that Litigant under this Agreement for that Contribution or Work will terminate as of the date such litigation is filed.

The Parties agree that this arbitration clause is an explicit waiver of immunity against validity and enforcement of the award or any judgment thereon and the award shall be final, binding and enforceable against any Litigant in any court having jurisdiction in accordance with its laws.
All Assurance of Compliance Reports must be provided in accordance with the Panel Contract and all disclosures relating to Model Litigant Guidelines must be complete and accurate.
No non-compliance in relation to Model Litigant Guidelines disclosed in those reports.
