Any Potential Liabilities shall be payable from the Liquidation Proceeds Holdback Account, first, from the related Liquidation Proceeds Holdback Amounts and then, out of interest accrued (if any) on the Liquidation Proceeds Holdback Amounts.
The Servicer shall hold any such Liquidation Proceeds Holdback Account for Liquidation Proceeds Holdback Amounts held back by the Servicer or requested to be held back by the Special Servicer and the Certificate Administrator shall hold any Liquidation Proceeds Holdback Account for Liquidation Proceeds Holdback Amounts held back by the Certificate Administrator, and in no event shall the Special Servicer hold a Liquidation Proceeds Holdback Account.

In the event (i) the Liquidation Proceeds Holdback Investment-Bearing Conditions are not satisfied, (ii) the Servicer, Special Servicer or Certificate Administrator, as applicable, is unable to obtain the Opinion of Counsel required under this Section 3.32(b), or (iii) the FDIC does not publish national average rates, then the related Liquidation Proceeds Holdback Amounts shall remain in a non-interest bearing Eligible Account.
