If the Limited Partners do not so elect to continue the Partnership, a Liquidating Partner shall be elected by a Majority-In-Interest of the Limited Partners.
In furtherance thereof, the Liquidating Partner shall: (i) have all of the administrative and management rights and powers of the General Partner (including the power to bind the Partnership); and (ii) be reimbursed for Partnership Expenses incurred during the process.
