If any proposal is made to include the Land in any local improvement district (“LID”) (or to modify the terms of any LID, including the amount or calculation of any required payments) and the owner of the Land is entitled to vote in favor of or against such proposal, then, provided there is then no uncured Event of Default, Tenant shall decide how to vote, the parties shall cooperate to effectuate such decision, and Tenant shall have full power to represent the Land in all matters related to the LID.
At any time during the last ten (10) years of the Lease Term any such LID shall require the approval of Landlord which, provided there is then no uncured Event of Default, shall not be unreasonably withheld.
Assessments, including, without limitation, assessments levied by the Association and any LID assessments, shall be prorated as of the Closing Date.
